By accessing or using USDP, you agree to these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our Platform.

2. Eligibility

  • You have the legal capacity to enter into these Terms
  • You are not prohibited from using our services under any applicable laws
  • You will comply with all applicable laws and regulations

3. Account Registration

  • Maintain the security of your account credentials

4. Wallet and Blockchain Transactions

4.1 Wallet Connection

You are responsible for maintaining the security of your digital wallet and private keys. We do not have access to your private keys and cannot recover them if lost.

4.2 Transaction Risks

You acknowledge that blockchain transactions are irreversible and may be subject to:

  • Network fees (gas fees)
  • Network congestion and delays
  • Smart contract risks
  • Price volatility
  • Potential technical failures

4.3 No Reversal

Once a transaction is confirmed on the blockchain, it cannot be reversed. You are solely responsible for verifying transaction details before confirming.

5. Prohibited Activities

You agree not to:

  • Use the Platform for any illegal purpose or in violation of any laws
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Platform's operation
  • Engage in market manipulation or fraudulent activities
  • Impersonate any person or entity
  • Transmit viruses, malware, or other harmful code
  • Use automated systems or bots without authorization
  • Violate the rights of others, including intellectual property rights

6. Intellectual Property

All content, features, and functionality on the Platform are owned by USDP or our licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express permission.

7. Disclaimers

7.1 No Financial Advice

The Platform does not provide financial, investment, or legal advice. You are solely responsible for your trading decisions.

7.2 "AS IS" Basis

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

7.3 No Guarantee

We do not guarantee that the Platform will be uninterrupted, secure, or error-free. We are not responsible for losses resulting from platform downtime, errors, or security breaches.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, USDP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

9. Indemnification

You agree to indemnify, defend, and hold harmless USDP and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Platform or violation of these Terms.

10. Termination

We reserve the right to suspend or terminate your access to the Platform at any time, with or without cause or notice. Upon termination, your right to use the Platform will immediately cease.

11. Modifications to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform. Your continued use of the Platform after such modifications constitutes your acceptance of the updated Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.

13. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration, except where prohibited by law.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
